ZCA Softwares provides custom software development services including but not limited to web applications, mobile applications, AI chatbots, CRM systems, and API integrations. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate proposal or agreement.

3. Project Agreements

Each software development project will be governed by a separate project agreement that specifies:

  • Project scope and requirements
  • Timeline and milestones
  • Pricing and payment terms
  • Intellectual property ownership
  • Deliverables and acceptance criteria

4. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

  • A deposit may be required before work begins
  • Progress payments may be tied to milestones
  • Final payment is due upon project completion and delivery
  • Late payments may incur additional fees

5. Intellectual Property

Upon full payment, clients typically receive ownership of the custom code developed specifically for their project. Pre-existing code, frameworks, libraries, and tools used in development remain the property of their respective owners. 6. Client Responsibilities

Clients agree to:

  • Provide accurate and complete project requirements
  • Respond to requests for feedback and approvals in a timely manner
  • Provide necessary access, content, and materials as required
  • Make payments according to agreed terms
  • Designate a point of contact for project communication

7. Changes and Revisions

Changes to project scope after agreement may affect timeline and pricing. We will communicate any such impacts and obtain approval before proceeding with significant changes. Minor adjustments within the original scope are typically accommodated without additional charges.

8. Warranties and Disclaimers

We strive to deliver high-quality software that meets agreed specifications. We provide a reasonable warranty period (typically 30-90 days) for bug fixes on delivered work. However, we do not guarantee that software will be error-free or uninterrupted. Services are provided "as is" without warranties of merchantability or fitness for a particular purpose beyond what is expressly stated in project agreements.

9. Limitation of Liability

To the maximum extent permitted by law, ZCA Softwares shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

10. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the project. This includes business strategies, technical specifications, and any other sensitive information. Confidentiality obligations survive the termination of any project agreement.

11. Termination

Either party may terminate a project agreement with written notice. In case of termination, the client is responsible for payment of work completed up to the termination date. Specific termination terms and any applicable fees will be outlined in individual project agreements.

12. Governing Law

These Terms of Service and any disputes arising from them shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation, and if necessary, through appropriate legal channels.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
